The payment milestone will consist of a 50% advance payment, with the remaining balance due upon the delivery of the code.
If the client requests only a portion of the project code, they will be charged for full payment before submitting the code to the client.
2. Intellectual Property
Selling or transferring the project files to another party without prior consent from theleafworks is strictly prohibited.
All intellectual property rights for any products or services provided by theleafworks shall remain the property of theleafworks unless otherwise agreed upon in writing.
3. Confidentiality
The client agrees not to disclose the project amount or any financial details to any third party without the permission of theleafworks.
Both parties agree to keep all project-related information confidential and not disclose it to any unauthorized third parties.
4. Service Availability
theleafworks will strive to ensure that the services provided are available 24/7. However, theleafworks shall not be liable for any interruptions or downtime.
Maintenance or updates may result in temporary service disruptions, and theleafworks will provide notice in advance whenever possible.
5. Limitation of Liability
theleafworks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of or inability to use the services provided.
The total liability of theleafworks for any claim arising out of or relating to these terms or the services provided shall not exceed the amount paid by the client for the services in question.
6. Warranties and Disclaimers
theleafworks provides its services on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
theleafworks does not warrant that its services will meet the client's requirements or that the services will be uninterrupted, timely, secure, or error-free.
7. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any disputes arising out of or related to these terms and conditions or the services provided shall be resolved in the courts of Mumbai, Maharashtra, India.
8. Amendments
theleafworks reserves the right to modify these terms and conditions at any time. Any changes will be effective immediately upon posting to the website.
Continued use of the services after any such changes constitutes acceptance of the new terms and conditions.
9. Termination
Either party may terminate the service agreement with written notice if the other party breaches any material term of these terms and conditions and fails to remedy such breach within [number] days of notice.
